1. Acceptance of Terms

By accessing or using dasaar.com or any Dasaar product or service ("the Platform"), you agree to be bound by these Terms of Use ("Terms"). If you are using Dasaar on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Platform.

2. About Dasaar

Dasaar Technologies provides procurement and spend management software for businesses in the MENA region. The Platform enables users to manage purchase requests, approvals, purchase orders, invoice matching, vendor payments, and related spend workflows.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By using Dasaar, you confirm you meet these requirements.

4. Account Registration

To access certain features you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials confidential
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform or its related systems
• Upload or transmit viruses, malware, or any malicious code
• Use the Platform to harass, harm, or defraud any person or entity
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Resell, sublicense, or commercially exploit any part of the Platform without our written consent
• Use automated tools to scrape, crawl, or extract data from the Platform

6. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to software, design, text, graphics, and trademarks — are owned by Dasaar Technologies or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes in accordance with these Terms. This licence does not include the right to copy, modify, distribute, or create derivative works.

7. Your Content

You retain ownership of any data, files, or content you upload to the Platform ("Your Content"). By uploading Your Content, you grant Dasaar a limited licence to process and store it solely for the purpose of providing the Platform to you.

You are responsible for ensuring Your Content does not infringe any third-party rights or violate any applicable laws.

8. Third-Party Integrations

The Platform may integrate with third-party services (e.g. ERP systems, accounting software, payment providers). Your use of those services is governed by their respective terms and privacy policies. Dasaar is not responsible for the availability, accuracy, or conduct of third-party services.

9. Fees and Payment

Where applicable, use of certain features is subject to fees as set out in your subscription agreement or order form. All fees are stated in the agreed currency and are non-refundable unless expressly stated otherwise or required by law.

We reserve the right to change pricing with reasonable notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any information provided through the Platform.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Dasaar Technologies and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the fees paid by you to Dasaar in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Dasaar Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Suspension and Termination

We may suspend or terminate your access to the Platform at any time with or without notice if we reasonably believe you have violated these Terms or applicable law, or if required for security, legal, or operational reasons.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE, unless otherwise agreed in writing.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on the website with a revised effective date. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription or order agreements, constitute the entire agreement between you and Dasaar Technologies with respect to the Platform and supersede all prior agreements and understandings.
